Terms of Service

1. Introduction

Welcome to Ribbit (“we,” “our,” or “us”). These Terms of Service (“Terms”) constitute a legally binding agreement between you and Ribbit governing your access to and use of the Ribbit platform, including our website, applications, and related services (collectively, the “Service”).

Ribbit is a personal finance management platform that provides double-entry bookkeeping, automatic bank synchronization, investment tracking, AI-powered financial analysis, and scenario-based financial planning. By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and, where practicable, notify you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you disagree with any changes, your sole remedy is to discontinue use of the Service and delete your account.

3. Account Registration & Responsibilities

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your login credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account
  • Maintain only one account per person

You must be at least 18 years of age to use the Service. By registering, you represent and warrant that you meet this age requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Scrape, crawl, or use automated means to access the Service beyond normal API usage
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for competitive analysis or to build a competing product
  • Attempt to gain unauthorized access to our systems, other users' accounts, or data
  • Transmit malware, viruses, or any harmful code
  • Infringe upon the intellectual property rights of Ribbit or any third party
  • Engage in money laundering, fraud, or any other illegal financial activity
  • Circumvent any rate limits, security measures, or access controls

5. Third-Party Integrations

The Service integrates with third-party providers to deliver its functionality. By using these features, you authorize the following:

Plaid

By connecting a bank account through Plaid, you grant Ribbit and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid Privacy Policy.

Public.com

By connecting your Public.com account, you authorize Ribbit to access your investment holdings, transaction history, and account information. This data is used solely to provide investment tracking and reporting within the Service.

Anthropic (AI Features)

When you use AI-powered features, your queries and relevant financial context are sent to Anthropic's Claude API for processing. See Section 6 for details on AI-specific terms.

Clerk (Authentication)

Account authentication is managed by Clerk. Your login credentials, email address, and authentication data are processed in accordance with Clerk's Privacy Policy.

6. AI-Powered Features

Ribbit offers AI-powered financial analysis, chat-based querying, and code execution features. By using these features, you acknowledge and agree that:

  • AI output may be inaccurate. AI-generated responses, calculations, and visualizations are provided for informational purposes only and may contain errors, omissions, or hallucinations.
  • Not financial, tax, or legal advice. Nothing produced by Ribbit's AI features constitutes professional financial, tax, investment, or legal advice. You should consult qualified professionals before making financial decisions.
  • You must independently verify AI output. You are solely responsible for evaluating and acting on any information provided by the AI features.
  • No model extraction. You may not attempt to extract, reverse engineer, or replicate the underlying AI models, prompts, or algorithms used by the Service.

7. Intellectual Property

The Service, including its software, design, logos, documentation, and all related intellectual property, is owned by Ribbit and protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership right in the Service itself.

You retain full ownership of your financial data. We claim no intellectual property rights over the data you provide to or generate through the Service.

8. User Data License

By using the Service, you grant Ribbit a non-exclusive, worldwide, royalty-free license to process, store, analyze, and display your financial data solely for the purpose of providing and improving the Service. This license terminates when you delete your account, subject to our data retention policy described in our Privacy Policy.

We may create aggregated, de-identified, or anonymized data derived from your usage of the Service for business purposes, including analytics, benchmarking, and product improvement. Such aggregated data will not identify you personally and is not subject to the restrictions of this license.

9. Subscription & Billing

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)
  • Subscriptions auto-renew unless cancelled before the end of the current billing period
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • We reserve the right to change subscription pricing with at least 30 days' notice
  • Refunds are provided at our sole discretion and are not guaranteed

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Ribbit does not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the information provided through the Service will be accurate, reliable, or complete; or (d) any defects will be corrected.

Ribbit is not a financial advisor, tax preparer, or investment advisor. The Service is a tool for personal financial management and does not provide financial, tax, investment, or legal advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RIBBIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

RIBBIT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU PAID TO RIBBIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ribbit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third party's rights.

14. Dispute Resolution & Arbitration

These Terms and any dispute arising from your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and the arbitral award shall be final and binding.

Class Action Waiver. YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

15. Termination

You may delete your account and terminate your use of the Service at any time. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with the retention schedule described in our Privacy Policy. Sections 6 through 14 of these Terms shall survive termination.
